Built for responsibility

GPS Helm exists to lead complex business transitions with clarity, discipline, and institutional responsibility.

These are not transactions — they are inflection points that shape legacy, continuity, and what comes next.

We support owners, advisors, and organizations during moments where the cost of misalignment is high and decisions cannot be undone.

GPS Helm was built to operate in that reality.

A firm designed for scale, rigor, and trust

Our structure, processes, and standards support:

1/

Complex, multi-layered engagements

2/

Coordination across advisors and institutions

3/

High volumes of analysis without loss of precision

4/

Consistent execution under pressure

Where outcomes are actually decided

Most firms focus once a transaction is underway — when pressure is high and options are limited.

GPS Helm operates earlier, where outcomes are actually shaped.

This reduces risk, preserves optionality, and allows decisions to be made from a position of strength.

It's removed by preparation

When uncertainty is resolved prior to exposure, transactions close in 97% of cases.

Leadership

GPS Helm is led by professionals experienced in managing complexity, consequence, and multi-party alignment where timing and discretion are critical.

Kelly Badon

Founder Partner

Kellye brings a steady, principles‑driven and God‑centered perspective to GPS Helm’s leadership. Her role is grounded in stewardship over transaction, with a clear focus on alignment across stakeholders and the consistent application of standards that safeguard trust and continuity.

Having grown, reorganized, founded, and successfully exited businesses, Kellye leads with an operator’s understanding of what ownership truly requires. She is known for her ability to listen carefully, simplify complex matters, and help leadership teams move forward with clarity and confidence.

Her leadership reinforces GPS Helm’s commitment to operating with restraint, consistency, and integrity—particularly in environments where credibility is cumulative and easily compromised.

Matt Gilbert

Founder Partner

Matt brings an entrepreneurial perspective to GPS Helm’s leadership, shaped by founding and operating five businesses — and successfully exiting each to Fortune 500 and private equity acquirers. As both a builder and a seller, he brings firsthand insight into what it takes to prepare for and execute a disciplined, high-quality exit.

Committed to elevating the sell-side experience, Matt focuses on delivering investment banking–quality representation to lower-middle and middle-market business owners. His approach combines analytical rigor, strategic positioning, and disciplined alignment with client objectives.

His leadership reinforces the firm’s commitment to clarity, preparation, and delivering outcomes that reflect the true value of a business built over years of ownership.

GPS Helm is structured to manage substantial workloads without sacrificing discretion or precision.

Respect the gravity of owner decisions

Avoid promotion-driven engagement models

Maintain consistency across every interaction

Scale responsibly as demands increase

This allows execution to be managed with the same discipline as preparation.

GPS Helm does not replace existing advisors or institutions

We work alongside them.

Our role is to:

1/

Elevate decision quality

2/

Provide structure where uncertainty exists

3/

Protect trust across stakeholders

4/

Lead transitions with clarity, discipline, and accountability

Clarity begins with a conversation

If you are evaluating a transition that requires experience, structure, and discretion, we welcome a private conversation to explore fit.
